Licence to use the Remotle Software

2. Computle grants you a non‑exclusive, non‑transferable licence to use the Remotle Software, including any applicable Third‑Party Software, in accordance with these terms (including the termination provisions) and within the limits of your Plan.

3. You shall use the Remotle Software solely for your own internal business purposes and only on Workstations and devices that you own or are authorised to control.

4. You agree to comply with any additional Third‑Party Software conditions communicated by Computle (including executing any necessary licences) and to indemnify Computle against any claims arising from your breach of such conditions.

Plans, term and price

5. This Agreement commences on the Commencement Date and continues for as long as you use the Remotle Software or hold a paid Plan, subject to the termination provisions below.

6. The Plans and their current prices are published on remotle.com/pricing. All prices exclude VAT, which is charged at the applicable rate. In summary:

  • Free: no charge; one user; use of up to 8 hours a week; relay speed limited to 5 Mbps; no support. The Free Plan is provided for trial and demonstration purposes.
  • Standard: £10 per user or £15 per Workstation per month, billed monthly; email support; relay speed limited to 50 Mbps.
  • Enterprise: £15 per user or £20 per Workstation per month, billed annually; a minimum of 100 Seats; a named engineer.

7. A Standard Plan runs from month to month. An Enterprise Plan runs for an annual term and renews for a further annual term unless either party gives notice before the end of the current term.

8. In consideration for the rights and services provided under this Agreement, you shall pay the charges for your Plan for each Seat in accordance with the billing basis of that Plan.

9. Computle may change its published prices. Any change will apply from your next billing period (or, for an Enterprise Plan, from your next annual term) following notice to you.

10. Computle may change or withdraw the Free Plan at any time.

Accounts and access

11. Access to the Remotle Software requires an account. Sign‑in may use your organisation’s Microsoft Entra ID. You are responsible for the accounts in your organisation and for the access you grant to each user.

12. You agree to keep all access credentials confidential and to notify Computle immediately through remotle.com/contact if they become compromised.

Rights in the Remotle Software

13. No title, ownership, copyright or any other intellectual property rights in the Remotle Software or Third‑Party Software will be transferred to you.

14. You acknowledge that the Remotle Software contains proprietary information. Except as expressly permitted in writing by Computle, you will not disclose or make the Remotle Software available to any third party other than your own authorised users. You agree to indemnify Computle against any claims arising from such unauthorised use.

15. You shall not copy the Remotle Software (or Third‑Party Software) except as needed to install it on your own Workstations and devices or for reasonable backup or security purposes. All copies must retain all copyright and proprietary notices.

16. You will ensure that your employees, agents and subcontractors understand that the Remotle Software is confidential and proprietary and will use it only in accordance with these terms.

17. You acknowledge that the commercial value of the Remotle Software is significant. You agree to indemnify Computle for any loss or expense resulting from unauthorised use or breach of these terms.

Your undertakings

18. You acknowledge that you are licensed to use the Remotle Software and any Third‑Party Software solely as permitted by this Agreement.

19. You undertake:

  • to ensure that the Remotle Software meets your business requirements (it is your sole responsibility to assess suitability before use, and the Free Plan is available for that purpose);
  • to ensure that the operating systems and software on your Workstations and devices are legally licensed by you, and to indemnify Computle against any third‑party claims arising from them;
  • to maintain, secure and back up your Workstations and the data on them, which remain your responsibility;
  • to keep all access credentials secure and confidential;
  • to keep the Remotle Software at a supported version;
  • to provide an internet connection suitable for remote desktop use; and
  • to provide accurate and up‑to‑date information when you subscribe or place an order.

20. You must not decompile, reverse engineer or attempt to derive source code from the Remotle Software or any Third‑Party Software (except as allowed by law with prior notice to Computle).

Acceptable use

21. You agree not to use the Remotle Software for any unlawful purpose, including but not limited to:

  • conducting or facilitating illegal, harmful, fraudulent or offensive activities;
  • accessing any computer that you do not own or are not authorised to control;
  • transmitting content that is illegal or infringing; or
  • engaging in activities that may compromise the security of the Remotle Software, the Relays or any other system (for example hacking or unauthorised scanning).

22. Computle reserves the right to investigate any breach of these provisions and to take appropriate action, including suspension or termination of your access to the Remotle Software.

Computle’s warranties

23. Computle warrants that it is entitled to grant you the rights set out in this Agreement for the Remotle Software and any Third‑Party Software.

24. The Remotle Software is designed to conform to the description on remotle.com. However, Computle does not warrant uninterrupted or error‑free operation.

25. Computle’s sole obligation for any non‑conformity shall be (a) remedying the non‑conformity in a future release of software developed by Computle or (b) supplying a corrected version of Third‑Party Software where one is available to Computle.

26. The warranties in this Agreement are the only warranties provided by Computle and replace all implied warranties (including fitness for a particular purpose) to the extent permitted by law.

27. You acknowledge that (i) the Remotle Software is not tailored to your individual specifications, (ii) exhaustive testing in every environment is not feasible, and (iii) software may contain errors.

Modifications

28. Computle reserves the right to make improvements, substitutions, modifications or enhancements to any part of the Remotle Software or Third‑Party Software, and to release updates to it, provided that such modifications do not materially detract from the functionality of your Plan.

28A. Computle may update this Agreement from time to time. It will give you at least 30 days’ notice of any material change, by email or in the Remotle console. If you do not accept a change, you may cancel before it takes effect; continuing to use the Remotle Software after that date means you accept it.

The Remotle device

29. The Remotle Device is sold at the price published on remotle.com, currently £400 per device excluding VAT. A Remotle Device is a purchase and is separate from any Plan.

30. The Remotle Device will be supplied to the delivery address on your order. Computle will make reasonable efforts to meet any agreed delivery date; however, Computle is not liable for any delays.

31. Ownership of a Remotle Device passes to you when Computle has received payment for it in full. Risk passes to you on delivery.

32. Any complaints about the condition or delivery of a Remotle Device must be notified to Computle in writing within five (5) working days of delivery. Failure to do so will be deemed acceptance of the Remotle Device.

33. You agree to use the Remotle Device in accordance with its intended purpose, Computle’s instructions and applicable legislation, and not to remove or deface any proprietary notices on it. Any software supplied on the Remotle Device is licensed to you, not sold, on the terms of this Agreement.

Support

34. Support is provided according to your Plan. The Free Plan includes no support. The Standard Plan includes support by email. The Enterprise Plan includes a named engineer.

35. Support requests are made through remotle.com/contact or as otherwise notified to you. Support is provided during normal working hours (9 AM to 5:30 PM UK time, Monday to Friday, excluding public holidays).

36. Support includes remote diagnosis and recommendations following your report of a fault in the Remotle Software, and the incorporation of fixes in future releases (with a temporary workaround provided when feasible).

37. Support covers the Remotle Software and the Remotle Device. It does not cover your Workstations, their operating systems or applications, your network, or your internet connection.

38. Computle is not obliged to provide support if you are not using a supported version of the Remotle Software or a supported operating system.

39. Support does not cover defects resulting from unauthorised modifications, misuse of the Remotle Software, or external factors such as electrical issues, hardware failures or natural disasters.

Disclaimers

40. Computle will use reasonable endeavours to provide support promptly; however, no guarantee is given regarding response times, and time is not of the essence.

41. Computle is not liable for delays or failure to perform its obligations due to causes beyond its reasonable control.

42. The provision of support does not guarantee that all software malfunctions will be corrected, and Computle accepts no liability in this regard.

42A. The Remotle Software, including the Relays and the console, is provided without any guarantee of availability, uptime or performance, except where Computle has agreed a service level in writing. It depends on internet connections, your own networks and Workstations, and third-party services that Computle does not control, and may be interrupted for maintenance.

Payments

43. Charges for a Standard Plan are billed monthly in advance. Charges for an Enterprise Plan are billed annually in advance. The Remotle Device is payable on order.

44. All payments must be made in full and on time. Any delay in payment may result in suspension of your Plan or other charges.

45. You are responsible for any fees or charges imposed by your bank or payment provider for processing the payment.

Termination

46. You may cancel a Standard Plan at any time; the cancellation takes effect at the end of the current monthly billing period. An Enterprise Plan may be ended at the end of its annual term by notice given before that term ends.

47. Computle may suspend or terminate your access, or the access of any of your users, with immediate effect and without liability, if:

  • (a) any amount due under this Agreement is overdue;
  • (b) you or any of your users breach this Agreement, including the acceptable use rules;
  • (c) Computle reasonably believes that the use of the Remotle Software puts at risk the security of the Remotle Software, the Relays, Computle or any third party, or may expose Computle to legal liability; or
  • (d) Computle is required to do so by law or by a competent authority.

47A. Computle may also end this Agreement for any reason by giving you 30 days’ written notice. Where it does so, Computle will refund any charges you have paid for the period after the end of the Agreement.

47B. A suspension under clause 47 does not reduce the charges due for the suspended period where it results from non-payment or a breach by you or your users. Computle will restore access once the reason for the suspension has been resolved, unless it terminates the Agreement.

48. Charges already paid for a billing period are not refundable except where required by law or agreed in writing by Computle.

49. On termination, your licence to use the Remotle Software ends, you must stop using it and uninstall it from your Workstations and devices, and any support obligations of Computle end. Termination does not affect your ownership of any Remotle Device you have paid for.

Data protection

50. Computle processes personal data about you and your contacts as a controller, as described in its Privacy Policy.

50A. Where Computle processes personal data on your behalf in providing the Remotle Software, such as the names, sign-in details and network addresses of your users, you are the controller and Computle is your processor, and Computle will:

  • (a) process that personal data only on your documented instructions, which are this Agreement and your use of the Remotle Software, unless the law requires otherwise;
  • (b) ensure that the people it authorises to process it are bound by confidentiality;
  • (c) take appropriate technical and organisational measures to protect it, including the encryption described in clause 51;
  • (d) use only the sub-processors listed in its Privacy Policy, give you notice of any new sub-processor so that you can object, and impose data protection terms on each of them equivalent to this clause;
  • (e) transfer it outside the UK only with the safeguards required by data protection law;
  • (f) help you, taking into account the nature of the processing, to respond to requests from individuals exercising their rights and to meet your own obligations on security, breach notification and data protection impact assessments;
  • (g) notify you without undue delay after becoming aware of a personal data breach affecting it;
  • (h) at the end of this Agreement, delete or return it at your choice, unless the law requires Computle to keep it; and
  • (i) make available the information reasonably needed to show compliance with this clause, and allow for audits on reasonable notice, at your cost, no more than once a year.

51. Remotle sessions are encrypted end to end with TLS 1.3. Only the screen image and input travel between the Workstation and the Remotle app; your files and applications remain on your Workstation. Your Workstations and the data on them remain under your control and are not stored by Computle.

52. Computle will retain personal data only for as long as necessary for the purposes for which it is processed.

53. Subject to clause 50A(h), on termination of this Agreement Computle will retain your account data for one calendar year. During that period you may request that it be deleted. After one year, Computle may delete your account data at its discretion.

Limitation of liability

54. Nothing in this Agreement limits liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot be limited by law.

55. Subject to clause 54, Computle’s total liability arising out of or in connection with this Agreement, whether in contract, tort (including negligence) or otherwise, shall not exceed the total charges paid by you under this Agreement in the 12 months before the event giving rise to the claim.

56. Computle shall not be liable for any consequential, indirect or special losses, including loss of data, profits or business opportunities.

57. Where you use the Free Plan, it is provided as is and, to the extent permitted by law, Computle has no liability to you in connection with it.

Multiple seats

58. These terms apply equally to each Seat and each Remotle Device. If you change the number of Seats, the charges for your Plan will be adjusted from the next billing period, subject to any minimum number of Seats for your Plan.

Entire agreement

59. This Agreement constitutes the entire understanding between you and Computle and supersedes all prior agreements related to its subject matter. You acknowledge that, in entering this Agreement, you have not relied on any statement of fact or opinion not recorded in it (except in cases of fraudulent misrepresentation). No variation of these terms will be valid unless confirmed in writing or accepted by you on remotle.com or in the Remotle Software.

Severability

60. If any provision of this Agreement is found to be illegal or unenforceable, the remainder of the Agreement shall remain in full force and effect unless its overall purpose is frustrated, in which case either party may terminate the Agreement immediately in writing.

Waiver

61. No delay or forbearance by either party in enforcing any right under this Agreement will operate as a waiver of that right, nor will any waiver of any breach be deemed a waiver of any subsequent breach.

Relationship of the parties

62. The relationship between you and Computle is that of independent contractors. Neither party is an agent or representative of the other, and neither may bind the other in any contract without prior written consent, except as necessary to perform this Agreement.

Rights of third parties

63. A person who is not a party to this Agreement has no right to enforce any of its terms.

Assignment

64. Neither party may assign or transfer this Agreement without the prior written consent of the other, except that Computle may assign this Agreement to a successor provided that the successor agrees in writing to be bound by these terms.

Notices

65. Any notice under this Agreement must be in writing and may be delivered personally, by recorded delivery or by first‑class post to Computle LTD, 15 Bishopsgate, London, EC2N 3AR, or to any address notified in writing by either party. For addresses within the United Kingdom, notices will be deemed delivered two working days after posting; if sent from outside the United Kingdom, seven working days after posting. Day‑to‑day correspondence can be sent through remotle.com/contact. Any other method of giving formal notice must be agreed in advance.

Force majeure

66. Neither party shall be liable for any delay or failure to perform its obligations (other than payment obligations) due to causes beyond its reasonable control. If such delay or failure continues for at least 90 days, either party may terminate this Agreement in writing without further liability.

Governing law and jurisdiction

67. This Agreement is governed by and construed in accordance with the laws of England and Wales. The parties submit to the exclusive jurisdiction of the courts of England and Wales or, at Computle’s election, to binding arbitration or mediation under the applicable rules.

Footnotes

1. Internet connection required. Latency, jitter and available bandwidth may affect performance. Connections are made directly between the Remotle app and the Workstation where possible, and otherwise through a Relay, subject to the relay speed of your Plan.

2. Remotle is software. Computle does not supply, host or maintain the Workstations you connect to with Remotle.
